These Terms of Service ("Terms") govern your access to and use of ugc.naqvicommerce.com (the "Site") and any products or services offered by NAQVI COMMERCE LLC ("we," "us," or "our"). Please read these Terms carefully before making a purchase.

1. Agreement to Terms

By purchasing a product or using any service offered through the Site, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not purchase or use our products or services.

We reserve the right to update these Terms at any time. Changes take effect immediately upon posting to the Site. Your continued use of the Site or products after any modification constitutes your acceptance of the revised Terms.

2. Products & Services

NAQVI COMMERCE LLC offers digital educational products — including guides, templates, video courses, and related resources — through ugc.naqvicommerce.com. All products are intended for educational and informational purposes only.

Product descriptions, pricing, and availability are subject to change without notice. We reserve the right to modify or discontinue any product at any time.

3. License

Upon completing a purchase, you are granted a personal, non-exclusive, non-transferable license to access and use the purchased digital product for your own personal, non-commercial use.

You may NOT:

Any unauthorized use terminates the license automatically and may expose you to legal liability.

4. Payment

All prices are listed in United States Dollars (USD). Payments are processed securely through Stripe, Inc. By submitting a payment, you represent that you are authorized to use the payment method provided and that the information you supply is accurate and complete.

We reserve the right to refuse or cancel any order at our sole discretion, including in cases of suspected fraud or payment errors. If a charge has already been made and your order is cancelled by us, a full refund will be issued.

5. Delivery

All products sold through the Site are digital goods delivered electronically. Upon successful payment, you will receive delivery of your product via email (download link, access credentials, or similar method) typically within minutes of purchase.

You are solely responsible for downloading, saving, and maintaining access to your purchased files. Please ensure your email address is correct at checkout. If you experience a delivery issue, contact us at syed@naqvicommerce.com.

6. Intellectual Property

All content available through the Site and our digital products — including but not limited to text, graphics, videos, templates, course materials, logos, and branding — is the exclusive intellectual property of NAQVI COMMERCE LLC and is protected by United States and international copyright law.

Unauthorized reproduction, distribution, display, or creation of derivative works from any content on the Site or in our products is strictly prohibited and may result in civil and criminal penalties.

7. Limitation of Liability

To the fullest extent permitted by applicable law, NAQVI COMMERCE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of the Site or our products, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of our products shall not exceed the amount you actually paid us for the specific product giving rise to the claim.

8. Termination

We reserve the right to suspend or terminate your access to any purchased product or the Site at our sole discretion, without notice, if we determine that you have violated these Terms.

In the event of termination due to a Terms violation, no refund will be issued. Your license to use the product is immediately revoked upon termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of our products shall be subject to the exclusive jurisdiction of the courts located in Albany County, New York. You consent to personal jurisdiction in such courts.
